Terms of Service

1. Introduction
Welcome to TalinoHR. By accessing or using the TalinoHR platform, you agree to be bound by these Terms of Service ("Terms"). TalinoHR is a cloud-based Human Resource Information System (HRIS) operated by IOL Inc., a company incorporated in the Republic of the Philippines. These Terms constitute a legally binding agreement between you and IOL Inc. If you do not agree to these Terms, you must not access or use the Service.
2. Definitions
- "Service" refers to the TalinoHR platform, including all features, tools, APIs, and related services.
- "Client" refers to the subscribing organization that has entered into a service agreement with IOL Inc.
- "User" refers to any individual authorized by a Client to access the platform, including administrators, HR staff, managers, and employees.
- "Employee Data" refers to personal information of a Client's employees that is processed through the platform, including but not limited to personal details, government identification numbers, compensation, attendance, and performance records.
- "Platform" refers to the web application, APIs, and all associated technology infrastructure provided by TalinoHR.
3. Account Registration and Security
To use the Service, you must provide accurate, current, and complete information during registration and keep your account information up-to-date. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
You agree to notify TalinoHR immediately of any unauthorized use of your account or any other breach of security. Administrator accounts are responsible for managing access for their organization's users. TalinoHR reserves the right to suspend accounts that appear to be compromised.
4. Service Description
TalinoHR provides a cloud-based HRIS, payroll processing, and performance management platform designed specifically for Philippine small and medium enterprises (SMEs) with 10 to 150 employees. The Service operates on a single-tenant architecture, ensuring each Client's data is isolated.
Key features include:
- Employee records management (201 file)
- Attendance and leave tracking
- Payroll processing with Philippine government compliance (SSS, PhilHealth, Pag-IBIG, BIR)
- Performance management (reviews, goals, PIPs, calibration)
- Personnel actions and approval workflows
- Employee self-service portal
- AI-powered analytics and assistance
While TalinoHR strives to maintain high availability, we do not guarantee uninterrupted or error-free service. Scheduled maintenance windows will be communicated in advance.
5. Acceptable Use
You agree not to:
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Reverse engineer, decompile, or disassemble the platform
- Use the Service for any illegal purpose or in violation of Philippine law
- Introduce malware, viruses, or any harmful code
- Scrape, crawl, or otherwise extract data from the platform through automated means
- Circumvent any security features or access controls
- Share login credentials with unauthorized individuals
You must comply with all applicable laws, including Republic Act No. 10173 (Data Privacy Act of 2012) and its implementing rules and regulations.
6. Data Ownership
The Client retains all rights, title, and interest in and to their Employee Data. TalinoHR processes Employee Data solely on the Client's behalf as a Personal Information Processor (PIP) under Republic Act No. 10173. We do not sell, share, or use Employee Data for any purpose other than providing the Service.
Clients may export their data at any time through the platform's built-in export features. Upon termination of the service agreement, Client data will remain available for export for thirty (30) days, after which it will be securely deleted.
7. Subscription and Payment
TalinoHR operates as a managed platform service. Pricing and payment terms are communicated separately as part of each Client's service agreement. Payment is due within thirty (30) days from the date of invoice unless otherwise agreed in writing.
Late payments may result in service suspension following a fifteen (15)-day written notice. Fees are non-refundable except as required by applicable law or as expressly stated in the service agreement.
8. Intellectual Property
The TalinoHR platform, including its source code, design, documentation, algorithms, and all related intellectual property, is owned by IOL Inc. and protected by Philippine intellectual property laws. No license or right is granted to the Client beyond the right to use the platform during the active subscription period.
The Client retains all intellectual property rights in their data, including Employee Data, business processes, and configurations uploaded to the platform.
9. Confidentiality
Both parties agree to protect confidential information received from the other party with the same degree of care used to protect their own confidential information, but in no event less than reasonable care. Confidential information does not include information that:
- Is or becomes publicly available through no fault of the receiving party
- Was independently developed by the receiving party without use of the disclosing party's confidential information
- Is required to be disclosed by law, regulation, or court order
Confidentiality obligations survive termination of the service agreement for a period of three (3) years.
10. Limitation of Liability
To the maximum extent permitted by Philippine law, TalinoHR's total aggregate liability arising out of or in connection with these Terms shall not exceed the total fees paid by the Client in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall TalinoHR be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Nothing in these Terms limits liability for gross negligence, willful misconduct, or fraud.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless IOL Inc. and its officers, directors, and employees from any claims, damages, or expenses arising from the Client's misuse of the Service or violation of these Terms.
TalinoHR agrees to indemnify the Client against any third-party claims that the platform infringes upon any intellectual property rights, provided the Client promptly notifies TalinoHR of such claims.
12. Term and Termination
This agreement is effective upon account creation and remains in effect for the duration of the subscription period. Either party may terminate the agreement with thirty (30) days' written notice. TalinoHR may terminate immediately in the event of a material breach by the Client.
Upon termination, the Client will have thirty (30) days to export their data. After this period, all Client data will be securely deleted. Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
13. Modifications to Terms
TalinoHR reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes via email or platform notification. Continued use of the Service after the notice period constitutes acceptance of the modified Terms. Material changes that significantly affect your rights or obligations may require affirmative consent.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Makati City, Philippines. Both parties agree to attempt good-faith negotiation before initiating any legal proceedings.
